Terms of Use

These Terms of Use, together with the End User License Agreement set out below, govern your access to and use of the Galactic Medical, LLC website and rep portal.

1. Acceptance of Terms

By accessing or using the Galactic Medical, LLC website (the "Site") or the password-protected rep portal (the "Portal," and together with the Site, the "Services"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

The Site provides product and company information for surgeons, hospital staff, and other healthcare professionals. The Portal is restricted to authorized Galactic Medical sales representatives and personnel. You must be at least 18 years old and able to form a binding contract to use the Services.

3. License to Use — End User License Agreement

Subject to your compliance with these Terms, Galactic Medical grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purposes: viewing public information on the Site, and, for authorized users, using the Portal and its tools (commission statements, hospital pricing, and quoting).

You may not, and may not permit others to: (a) copy, modify, distribute, sell, or lease any part of the Services or their software; (b) reverse engineer or attempt to extract source code, except where permitted by law; (c) access the Services through automated means (scraping, bots) without our written permission; (d) circumvent or interfere with authentication, security, or access controls; or (e) use the Services to build a competing product. We reserve all rights not expressly granted. This license terminates automatically if you breach these Terms.

4. Portal Accounts

Access to the Portal requires credentials issued to authorized users. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to use only your own account, to keep your information accurate, and to notify us promptly of any unauthorized use or suspected security breach. We may suspend or revoke access at any time, including when an individual is no longer authorized.

The Services, including their design, text, graphics, logos, and software, are owned by Galactic Medical or its licensors and are protected by intellectual property laws. "Paragon 28" and related product names and marks are trademarks of Paragon 28, Inc., used in our capacity as an authorized distributor; nothing in these Terms grants you any rights in those marks. Except for the limited license in Section 3, no rights are granted to you.

The Services rely on and may link to third-party providers and websites, including hosting, authentication, accounting, and the websites of Paragon 28 and its affiliates. Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party content, products, or practices.

8. Medical Disclaimer

Information about medical devices and products on the Site is provided for general informational purposes to qualified healthcare professionals and is not medical advice, a recommendation, or a substitute for professional judgment, training, or the manufacturer's official instructions for use (IFU). Medical devices must be used only by appropriately trained and licensed professionals in accordance with the manufacturer's labeling and applicable law. Galactic Medical does not practice medicine and makes no representation that any product is suitable for a particular patient or procedure.

9. No Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that information provided is complete or current. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by law, Galactic Medical and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Galactic Medical and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party or any law.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the license granted in Section 3 ends and you must stop using the Services. Sections that by their nature should survive termination (including Sections 6, 9, 10, 11, 15, and 16) will survive.

14. Changes to These Terms or the Services

We may modify these Terms or the Services at any time. When we change these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida will have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction in those courts. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.

16. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Galactic Medical regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship between you and Galactic Medical.
